Alliance Agreement
A Standard Document for use as an alliance agreement, sometimes called a contractual joint venture agreement or a strategic alliance agreement. This Standard Document is an agreement between two independent entities to compete for and work together on a project or series of projects without forming a jointly owned entity. It contains provisions that are common in negotiated alliance agreements, including terms setting out each party's obligations and responsibilities as well as procedures for project management and dispute resolution. This Standard Document aims to be reasonable and is drafted in a balanced manner that does not favor one party over the other. This Standard Document has integrated notes with important explanations and drafting and negotiating tips.
