In an asset acquisition, the buyer has the flexibility to acquire only specified assets and liabilities, reducing the risk of assuming unknown obligations. However, this structure often increases complexity, as the transfer of each asset and liability must be individually documented. The process typically requires more formalities than other M&A transactions, including the execution of bills of sale for tangible assets, assignment and assumption agreements for contracts, and deeds for real property. More third-party consents may also be necessary to address anti-assignment clauses in key agreements.
