Broad Indemnification Clause (Construction)
This Standard Clause outlines the indemnification obligations of the indemnitor to the fullest extent permitted by law. The indemnitor agrees to defend, indemnify, and hold harmless all specified indemnified parties, including their officers, directors, employees, agents, and affiliates, against all claims, losses, liabilities, damages, and expenses. This includes costs related to litigation, arbitration, mediation, and legal fees arising from the performance or condition of the indemnitor's work under the contract. The indemnitor’s obligations persist beyond the contract’s termination and extend to claims occurring post-completion. The clause emphasizes that these indemnification duties are not limited by the indemnitor's insurance coverage or any workers' compensation laws. This Standard Clause ensures comprehensive protection for indemnified parties and clarifies the extent of the indemnitor's responsibilities, making it a critical component in contractual agreements.
