Celebrity Endorsement Agreement
A Standard Document for a celebrity endorsement agreement that a company can use to engage a celebrity for promotional efforts and to support its marketing initiatives. This Standard Document grants the company the exclusive right and license to use the endorser's name, likeness, and other identifying attributes in connection with the advertisement, promotion, and sale of the company's products and services. It addresses provisions typically included in celebrity endorsement agreements, including scheduling promotional appearances, prohibiting the endorser from using competing products and services, and establishing the approval process for advertising materials. It provides a framework for managing the commercial relationship and mitigating risk through clauses such as a morals clause (also known as a morality clause) and a right of first refusal for renewing the agreement. This Standard Document has integrated drafting notes with important explanations and drafting and negotiating tips.
