General Contract Clauses: Confidentiality (Short Form)
A short-form Standard Clause setting out confidentiality obligations in a commercial contract. This Standard Clause includes a short definition of confidential information with standard exceptions, common confidentiality obligations of the recipient, and provisions addressing disclosures required by law. This resource also includes optional language addressing the return or destruction of confidential information, as well as the discloser's right to seek equitable relief. This Standard Clause is drafted to be easily adaptable for a mutual clause where both parties are disclosing confidential information or a unilateral clause where there is only one discloser and one recipient.
