General Terms and Conditions for the Sale of Goods and Services (Pro-Seller)

These terms are designed to be used with a seller's quotation, invoice, or sales confirmation to establish the governing provisions of the agreement. This Standard Document is drafted to prevail over a buyer's conflicting purchase order terms. Key provisions focus on limiting the seller's risk, including clauses for the transfer of title and risk of loss, inspection and rejection of nonconforming goods, and limitations of liability. It also provides for express limited warranties for goods and services while disclaiming all implied warranties.
