Membership Interest Redemption Agreement (DE LLC; Short Form)
A Standard Document providing a short-form agreement for the redemption of a member's interest by a Delaware limited liability company (LLC). This Standard Document is intended for use when an LLC is purchasing or buying back a member's entire ownership stake, effectively facilitating the member's exit from the company. It sets out the essential terms of the redemption, including the purchase price, payment mechanics, and the effective date of the transaction. This agreement also typically includes important representations and warranties from both the selling member and the LLC, mutual releases of claims to prevent future disputes, and other critical provisions to ensure a clean and legally sound separation. This short-form agreement is designed to be a straightforward and efficient tool for structuring the buyback of a departing member's interest in a Delaware LLC.
