Raw Materials Master Supply Agreement (Requirements Contract)
A short-form master supply agreement between a manufacturer and a supplier for the manufacturer's requirements of a raw material. This Standard Document contains provisions that are commonly found in a long-term requirements contract for raw materials at multiple locations, including corporate price discount, interruptions in supply, and meet-or-release (MOR) clauses. This Standard Document also includes optional clauses for a delivery system provided by the vendor that is integrated into the manufacturer's production facilities. This Standard Document has integrated notes with important explanations and drafting and negotiating tips.
