Stock Purchase Agreement (Transactions between Stockholders or Affiliates)
A Standard Document providing a stock purchase agreement, also known as a stock transfer or share transfer agreement, for specific, limited-scope transactions. This form of agreement is tailored for use in a sale of stock between two existing stockholders of a target company or in an intercompany transfer between two affiliates. Unlike agreements for the sale of a majority stake to a third party, this Standard Document does not contain extensive representations, warranties, or covenants regarding the target company's business. Instead, it focuses on the essential terms needed to effectuate the transfer, including provisions for the purchase and sale, closing, and representations and warranties concerning the seller's ownership of the shares and authority to sell.
