Subcontract Services Agreement (Pro-Prime Contractor, With Flow-Down Provision)

A subcontract services agreement to engage a subcontractor to perform general, non-project-based, non-professional services, drafted in favor of the prime contractor (also known as the general contractor or subcontracting party). It includes a unilateral flow-down (also known as a flow-through) provision, which aims to make at least some of the provisions of the underlying contract that impose obligations on the prime contractor apply to the subcontractor to the same extent that they apply to the prime contractor.
